The Buyer's details are inserted into the agreement automatically for every order.
The Seller and the Buyer are together referred to as the "Parties".
2. Definitions
- Platform: the online software operated by the Seller through which ordering and production are managed (canvashelper.com, app.canvashelper.com and the mobile app).
- Product: printed goods made to order based on the design/image uploaded by the Buyer.
- Order: a production request placed and electronically confirmed by the Buyer on the Platform.
- End Customer: the Buyer's own customer to whom the Buyer resells the Product.
- Business Day: any day other than weekends and public holidays.
3. Subject
This Agreement governs the production and delivery by the Seller of the made-to-order Product subject to the Order placed remotely by the Buyer through the Platform, and the mutual rights and obligations of the Parties. The Parties acknowledge that the Buyer acts for commercial purposes (resale).
4. Formation
The Agreement is concluded remotely when the Buyer electronically accepts this Agreement and the Pre-Information Form at the order confirmation step. The time of acceptance, IP address, accepted version and timestamp are recorded by the Seller and constitute conclusive evidence.
5. Product characteristics and tolerances
5.1. The main characteristics of the Product (material, size, frame, printing method), its quantity and price are stated in the Pre-Information Form shown at the order confirmation step.
5.2. The Product is made to order. Print colours may differ reasonably from the Buyer's screen and file profiles.
5.3. Industry-standard tolerances apply to sizes and colours; such differences do not constitute defects.
6. Buyer's responsibility for designs; intellectual property
6.1. The Buyer represents and warrants that it holds the rights to use, reproduce and print every design, image and text it uploads, or has obtained the necessary permissions, and that they do not infringe any third party's copyright, trademark, design, personality or other intellectual property rights.
6.2. All legal and criminal liability arising from the designs lies with the Buyer. The Buyer shall immediately cover, upon the Seller's first written request, any claim, compensation, penalty, attorney fees and costs directed at the Seller for this reason.
6.3. The Seller reserves the right to refuse and cancel orders for content it considers unlawful, misleading, hateful, obscene, criminal or infringing third-party rights.
6.4. The Seller is not responsible for print results caused by insufficient resolution or quality of the file uploaded by the Buyer.
7. Order changes and cancellation
7.1. The Buyer may change or cancel an Order before it enters production, in which case the product price charged is refunded. Orders that have entered production cannot be changed or cancelled due to their made-to-order nature.
7.2. If the Seller cannot fulfil an Order due to technical or production impossibility, it will inform the Buyer and refund the amount charged; it has no further liability.
8. Price, payment, shipping and invoicing
8.1. The product price (VAT included) and its breakdown are shown in the Pre-Information Form; the product price is final at order confirmation.
8.2. Payment is made in Turkish lira by credit or debit card (via the iyzico payment infrastructure), by bank transfer or from the Platform balance. Production may not start until payment is received.
8.3. Shipping is charged separately and later: the shipping fee is not finalised at order confirmation. After dispatch, it is charged to the Buyer separately based on the actual amount invoiced to the Seller by the carrier. The shipping amount shown at the time of order is an estimate and is not binding.
8.4. Invoices are issued by the Seller. Invoicing, tax and legal obligations relating to the Buyer's sales to the End Customer rest solely with the Buyer.
8.5. Prices containing an obvious error may be corrected by the Seller; if the Buyer does not accept the corrected price, the Order is cancelled and the amount refunded.
9. Production, delivery and transfer of risk
9.1. Production and delivery times are stated as estimates in the Pre-Information Form, in business days.
9.2. Delivery is made by carrier to the address specified by the Buyer in the Order. Where, at the Buyer's request, the Product is shipped directly to the End Customer, the Seller's counterparty remains solely the Buyer.
9.3. Risk of loss and damage passes to the Buyer when the Product is handed to the carrier.
9.4. The Seller is not responsible if the Product cannot be delivered because the End Customer does not accept it, customs procedures (payment of duties, declarations, documents etc.) are not completed, the address is incorrect or incomplete, or for similar reasons attributable to the Buyer or End Customer. Return, destruction, re-shipment, storage and customs costs arising in such cases are borne by the Buyer; the product price is not refunded.
10. Defective performance, inspection and notice
10.1. As the Parties are merchants, the Buyer must inspect the Product upon receipt under Article 23 of the Turkish Commercial Code and notify the Seller in writing (support ticket, email or KEP) of visible defects within two (2) business days and of hidden defects immediately upon discovery. The Product is deemed accepted for defects not notified in time.
10.2. For defective, missing or damaged Products attributable to the Seller and notified duly and in time, the Seller will, at its option, remake/replace the Product or refund the relevant price. This is the Buyer's sole and exclusive remedy.
10.3. Tolerances and colour differences under Article 5, file/design errors attributable to the Buyer and misuse are excluded from defects.
10.4. Manufacturing defects are covered by the Seller: stretcher bar or frame marks on the canvas surface, canvas tension defects and similar production errors are remedied by a free remake or a refund.
10.5. Shipping damage is covered subject to evidence: if the Product arrives damaged, the Seller will remake or refund it provided the Buyer opens a support ticket within the period in Article 10.1 and submits photos of the package/box clearly showing the damage (mandatory) together with product photos. Product photos alone are not sufficient.
10.6. If the evidence in Article 10.5 is not provided, the shipping damage claim is rejected and the product price is borne by the Buyer.
11. Limitation of liability
11.1. The Seller's total liability under this Agreement is in all cases limited to the price of the relevant Order.
11.2. The Seller is not liable for any indirect, incidental or consequential damages, including loss of profit, loss of business or customers, reputational damage and End Customer claims.
11.3. The Seller cannot be held responsible for the relationship between the Buyer and the End Customer.
11.4. These limitations apply to the extent permitted by mandatory law in cases of the Seller's intent or gross negligence.
12. Force majeure
In cases of natural disaster, epidemic, fire, war, strike, cyber attack, supply or energy outage, change in legislation and similar events beyond the Parties' control, the affected Party's obligations are suspended for the duration of the impediment. If the impediment exceeds 30 days, the Parties may terminate the affected Order without compensation; any amount charged is refunded.
13. Confidentiality and personal data
13.1. The Parties keep confidential the commercial information they learn under this Agreement.
13.2. Personal data is processed in accordance with Turkish Personal Data Protection Law No. 6698 (KVKK) and the Privacy Policy. Where the Buyer transfers End Customer data to the Seller, the Buyer undertakes that it has fulfilled the required notice and legal-basis obligations for such data. The Seller processes such data solely to fulfil the Order.
14. Default and termination
14.1. If either Party breaches its obligations and fails to remedy the breach within seven (7) days of written notice, the other Party may terminate the Agreement and claim its damages.
14.2. If the Buyer defaults on payment, the Seller may suspend production and delivery.
15. Assignment and notices
15.1. The Buyer may not assign the Agreement without the Seller's written consent.
15.2. Notices are sent to the email addresses registered on the Platform and to the Seller's contact details above, and constitute valid notification.
16. Governing law and jurisdiction
This Agreement is governed by Turkish law. The Tekirdağ Courts and Enforcement Offices have jurisdiction over disputes. As the Parties are merchants, consumer legislation and Consumer Arbitration Committees do not apply.
17. Miscellaneous
17.1. The invalidity of any provision does not affect the remaining provisions.
17.2. The Agreement and the Pre-Information Form constitute the entire agreement between the Parties.
17.3. The Seller may update the Agreement; each Order is subject to the version in force at the time of confirmation. Past Orders remain subject to the version accepted.
18. Entry into force
This Agreement enters into force upon the Buyer's electronic acceptance at order confirmation. The Buyer declares that it has read, understood and accepted the Agreement and the Pre-Information Form.
